Section 1 Scope and provider

These Terms of Service apply to new orders placed via the online shop at www.yunelle.com after the operator change on 7 September 2026 and to the resulting contracts between

(hereinafter "we", "us" or "Yunelle") and you as our customer.

Orders previously placed with Marco Rafael Abagiu trading as Yunelle remain with that original contracting party and remain subject to the terms applicable when they were placed. This update does not transfer existing contracts, outstanding obligations or claims to Geminos Limited and does not restrict rights arising from earlier orders.

A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. An entrepreneur is any natural or legal person or partnership with legal capacity acting in the exercise of their trade, business or profession.

Deviating, conflicting or supplementary terms and conditions of the customer do not become part of the contract unless we have expressly agreed to them in text form.

Section 2 Contract language and storage of the contract text

Contracts can be concluded in German or in English. In the event of discrepancies between the German and the English version of these Terms, the German version prevails for customers resident in Germany.

We store the contract text and send you the order details and these Terms by e-mail. You can view your past orders in your customer account, if you have created one. For security reasons, the contract text is not otherwise accessible via the internet.

Section 3 Conclusion of contract

The presentation of products in our online shop does not constitute a legally binding offer, but a non-binding invitation to place an order.

By clicking the order button you submit a binding offer to purchase the goods in your shopping cart. Before submitting your order you can review all entries at any time and correct them using the browser and the correction functions provided in the ordering process.

We will confirm receipt of your order by e-mail without undue delay. This confirmation of receipt does not yet constitute acceptance of your offer. The contract is concluded only when we issue a separate declaration of acceptance or dispatch the goods and notify you of the dispatch.

We are entitled to refuse an order without stating reasons, in particular in the case of obvious pricing or description errors, where there is reasonable suspicion of fraudulent or abusive use, where the goods are unavailable, or where the order is evidently placed by dealers or resellers. Any payments already made will be refunded to you in full without undue delay.

We reserve the right to limit quantities per person, per household or per order.

Section 4 Right of withdrawal

If you are a consumer, you have a statutory right of withdrawal. The details, the exclusions and the model withdrawal form are set out in our Withdrawal Policy.

You can also exercise your right of withdrawal at any time using the withdrawal function available at https://www.yunelle.com/pages/widerruf-formular and via the corresponding button in the footer of our website.

Section 5 Prices and shipping costs

All prices stated are total prices and include statutory value added tax where applicable. Shipping costs are stated separately and are shown to you in the shopping cart before you submit your order. Details can be found in our Shipping Policy.

For deliveries outside the European Union, additional customs duties, import taxes and handling fees may apply. These are payable by the recipient and are not included in our prices.

Section 6 Payment

The payment methods available to you are shown in the checkout before you complete your order. We reserve the right to exclude individual payment methods in specific cases, in particular where there is a justified risk of default.

The purchase price is due immediately upon conclusion of the contract. If you default on payment, we are entitled to charge default interest at the statutory rate. Our right to claim further damages caused by default remains unaffected. You are free to prove that no damage or a lesser amount of damage has been incurred.

Section 7 Retention of title

The goods remain our property until full payment of the purchase price has been received.

Section 8 Delivery and availability

We deliver to the delivery area stated in our Shipping Policy. Delivery times stated are non-binding estimates and do not constitute binding delivery dates, unless we have expressly confirmed a binding date to you in text form.

If the goods ordered by you are not available because we are not supplied by our supplier through no fault of our own, despite having concluded a congruent hedging transaction, we may withdraw from the contract. In this case we will inform you without undue delay and refund any payments already made without undue delay. Your statutory rights remain unaffected.

The risk of accidental loss and accidental deterioration of the goods passes to you upon handover of the goods. If you are a consumer, Section 475 (2) of the German Civil Code applies: the risk passes to you only upon handover of the goods to you, even where we use a carrier.

Section 9 Liability for defects

The statutory provisions on liability for defects apply. If you are a consumer, the limitation period for claims based on defects in new goods is two years from delivery.

If the goods are defective, incorrect or damaged, please contact us at legal@yunelle.com or help@yunelle.com. We will bear the costs necessary for the purpose of subsequent performance, including in particular return shipping costs.

Any additional guarantees granted by us apply only if they have been expressly designated as such in text form. Your statutory rights are not restricted by any guarantee.

Section 10 Liability

We are liable without limitation for damages arising from injury to life, body or health, for damages based on intent or gross negligence, in the event of fraudulent concealment of a defect, where a guarantee has been assumed, and under the German Product Liability Act.

In the event of a slightly negligent breach of a material contractual obligation, our liability is limited to the foreseeable damage typical for this type of contract. Material contractual obligations are those obligations whose fulfillment is essential to the proper performance of the contract and on the observance of which the contracting party may regularly rely.

Any further liability is excluded. The above limitations also apply in favour of our legal representatives, employees and vicarious agents.

Section 11 Set-off and right of retention

You may only set off claims of your own against our claims where your counterclaim is undisputed, has been legally established, or is ready for a decision. You may exercise a right of retention only where your counterclaim arises from the same contractual relationship.

Section 12 Vouchers, promotions and optional services

Promotional vouchers are issued free of charge in the context of advertising campaigns, are valid only for the period stated and cannot be purchased. They can be redeemed only once per order and only before the ordering process is completed. Several promotional vouchers cannot be combined unless expressly stated otherwise. Any remaining balance is not paid out and no interest is granted. Promotional vouchers are not refunded if you withdraw from the contract in whole or in part.

Optional paid services, in particular the Priority Service, are additional services which you can select in the shopping cart. Their content is set out in our Shipping Policy. They are never preselected and can be removed at any time before the order is completed.

Section 13 Customer content and communications

If you send us product reviews, images, ideas or other content, you grant us a non-exclusive, transferable right to use this content in connection with our products and our marketing, free of charge and without limitation as to time or territory. You warrant that you hold the necessary rights and that the content does not infringe the rights of third parties.

We may remove content which is unlawful, offensive, misleading or infringes the rights of third parties.

Section 14 Minimum age

Our online shop is directed at persons who have reached the age of majority and have full legal capacity. Minors may place orders only with the consent of their legal guardian.

Section 15 Dispute resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Section 16 Applicable law and place of jurisdiction

The law of the Federal Republic of Germany applies, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer with habitual residence in another country, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of that country.

The statutory rules on jurisdiction apply. If you are a consumer, nothing in these Terms restricts your right to bring proceedings before a court that has jurisdiction under applicable consumer protection law.

Section 17 Final provisions

Should individual provisions of these Terms be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. The statutory provisions shall apply in place of any invalid provision.

Amendments or supplements to these Terms require text form.
